ARTICLE 6 - TERM, RENEWAL, AND PAUSE

This agreement is concluded for an initial term of twelve (12) months. It is automatically renewed for successive periods of one (1) month, unless written notice is provided fifteen (15) days before expiry. The Parties may suspend the Campaign for a period agreed in writing.
ARTICLE 7 - TERMINATION AND EARLY PENALTY (< 6 MONTHS)

Each Party may terminate the Agreement with written notice of fifteen (15) days before the end of the current month. Commissions due remain payable and setup fees are non-refundable. In the event of termination before three (3) months, the Client pays a penalty equivalent to the monthly fees remaining until the end of the third month.
ARTICLE 8 - NON-SOLICITATION

During the term of the Agreement and twelve (12) months after its end, the Client agrees not to recruit or contract with any employee, consultant, or partner of AFP who participated in the Services. In case of breach: liquidated damages equal to six (6) months of monthly fees.
ARTICLE 9 - PAYMENT DEFAULT AND SUSPENSION

Any unpaid amount will bear interest at 2% per month, compounded monthly. After 60 days of non-payment, AFP may suspend the Services and require accelerated payment of amounts due within 30 days.
ARTICLE 10 - FORCE MAJEURE

Neither Party is responsible for a delay or failure due to an event beyond its reasonable control. If the impediment lasts more than 60 days, the other Party may terminate the Agreement without penalty.
ARTICLE 11 - INTELLECTUAL PROPERTY: FULL TRANSFER

Subject to full payment of amounts due, AFP assigns to the Client all economic rights to the Work. AFP retains its general know-how, without disclosing confidential information specific to the Client.
ARTICLE 12 - LEGAL COMPLIANCE AND MUTUAL INDEMNIFICATION

The Client warrants that data and lists comply with Law 25, PIPEDA, and CASL. AFP agrees to comply with CASL, applicable telemarketing rules, and any requested opt-out. Each Party retains evidence of consents and communications for three (3) years.
Each Party will indemnify the other for any claim or fine resulting from a proven breach of its compliance obligations.
ARTICLE 13 - COLLABORATION, GOOD FAITH, AND AMICABLE RESOLUTION

The Parties agree to collaborate, communicate any concerns promptly, and participate in agreed follow-up meetings. Informal conciliation and, if needed, mediation will be prioritized before any formal proceedings.

Any modification must be made in writing and signed by both Parties. The Agreement is governed by the laws of Quebec and any dispute falls under the competent courts of the judicial district of Longueuil.

ARTICLE 1 - DEFINITIONS
For the purposes of this Agreement (the "Agreement"), the following terms have the meanings assigned to
them: "Appendix A" refers to the detailed description of the Work and deliverables attached to this Agreement.
"Campaign" refers to all telephone prospecting activities carried out by AFP for the Client. "Services"
refers to all professional services provided by AFP. "Work" refers to all scripts, notes, reports, summaries,
settings, and deliverables produced as part of the Campaign.
ARTICLE 2 - PURPOSE OF THE MANDATE
The Client mandates AFP to design, structure, and execute a professional B2B telephone prospecting Campaign
aimed at market validation, qualification of targeted companies, collection of strategic information, and
initiation of conversations with relevant decision-makers.
ARTICLE 3 - DETAILED DESCRIPTION OF SERVICES
The Campaign is delivered exclusively through telephone prospecting. AFP handles strategic preparation,
script development, targeted outbound calls, conversation management, qualification of exchanges, management
of telephone follow-ups, detailed note-taking, and overall supervision of the process. No LinkedIn outreach
or automated email campaign is included in this Agreement. —
ARTICLE 4 - OPERATIONAL FRAMEWORK AND TIME ALLOCATION
The Campaign relies on an average allocation of approximately twenty (20) hours per week. This allocation
includes active telephone prospecting, management of follow-ups and reminders, optimization of collected
information, and overall management and supervision of the Campaign. These metrics are provided for
information only and do not constitute a guarantee of volume or results.
ARTICLE 5 - TERM AND COMMITMENT
This Agreement is concluded for a firm, non-cancellable term of three (3) months from the agreed start date.
All fees are due for the entire period.
ARTICLE 6 - FEES AND PAYMENT TERMS

CAD are billed upon signature of this Agreement. These fees cover setup, strategic preparation, and
campaign launch. Setup fees are non-refundable.

current month and are payable on the first (1st) day of the following month. All service months are billed
in advance.

Payment terms - Unless otherwise indicated in writing, invoices are payable by the due date indicated,
without deduction or set-off.
- No commission or bonus applies under this Agreement.
ARTICLE 7 - TERMINATION AND PENALTIES
Any termination before the end of the three (3) month term triggers immediate payment of all remaining fees
due until the end of the contractual period.
ARTICLE 8 - BEST-EFFORTS OBLIGATION
AFP commits to providing professional best-efforts in accordance with industry best practices, without any
guarantee of results, sales, or revenue.
ARTICLE 9 - CONFIDENTIALITY
The Parties agree to preserve the confidentiality of any information exchanged within the scope of the Campaign.
ARTICLE 10 - GOVERNING LAW
This Agreement is governed by the laws of the Province of Quebec.
